1. Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Ripperwing Entertainment LLC ("Ripperwing", "we", "us" or "our"). They apply when you visit our website at ripperwing.com (the "Website"), play any of our games (the "Games"), submit a game or idea to us, take part in our content creator program or playtests, or use our press kit. Together, these are our "Services".

By using our Services, you agree to these Terms. If you do not agree, please do not use our Services. Our Privacy Policy at https://ripperwing.com/privacypolicy explains how we handle personal information and forms part of how we operate our Services.

Some of our Services may come with additional terms, such as a publishing agreement, a non-disclosure agreement (NDA) or a store's end user license agreement. If those terms conflict with these Terms, the additional terms apply for that Service.

2. Game and idea submissions

You can send us your game or idea through our publishing application form.

No agreement or obligation. Submitting a game or idea does not create any agreement, partnership or obligation between you and Ripperwing. We are not required to review, respond to, accept or publish any submission.
Similar ideas. We develop our own games and review many submissions. We may already be working on, or may later develop, games and ideas that are similar to yours. Submitting does not prevent us from doing so.
Not confidential. Submissions are not treated as confidential unless you and Ripperwing have signed a separate written confidentiality agreement. Please do not send anything you are not comfortable sharing on that basis.
You keep your ownership. You retain full ownership of your game and your intellectual property. Submitting does not give Ripperwing any license or rights to your work. Any license or rights would only arise under a separate publishing agreement signed by both parties.
Your right to submit. You confirm that you have the right to share the material you submit and that it does not infringe anyone else's rights.

3. Content creator program

You can apply to our content creator program through our content creator application form.

Keys at our discretion. We decide at our sole discretion whether to provide game keys, early access or other materials to any creator, and how many. We may revoke keys or access at any time, for example if they are misused.
Keys are personal. Keys are non-transferable. You may not sell, resell, trade, give away or otherwise transfer them, unless we have given you keys specifically for a giveaway.
Disclosure. When your content is sponsored, or when you received a free key or other benefit from us, you must clearly disclose this to your audience as required by applicable laws and platform rules (for example, U.S. Federal Trade Commission guidance), such as by using labels like "#ad", "sponsored" or "key provided by the publisher".
No guarantee of coverage. Receiving a key does not oblige you to create content, and creating content does not guarantee any payment or partnership from us, unless agreed in writing.

4. Videos and streaming

We want you to share our Games. Anyone may stream, record and publish videos, screenshots and other content showing gameplay from our Games, including the in-game music, and you may monetize that content (for example, through the YouTube Partner Program, Twitch or similar programs). You do not need to ask us for permission first.

When you do, please follow these conditions:

Do not suggest that your content is official, or that it is endorsed or sponsored by Ripperwing, unless we have agreed to that in writing.
Do not distribute the Games themselves, or the raw soundtrack or other game assets as a standalone product (for example, uploading the full soundtrack as music or offering game files for download).
Do not share content from private or closed playtests while it is still confidential (see section 6), or any other content covered by an NDA.

We may withdraw this permission for specific content that is hateful, harassing, defamatory or illegal, or that otherwise breaks these Terms.

Some of the music or other assets in our Games may be licensed from third parties. In rare cases this may cause an automated copyright claim on your video. If that happens, contact us at help@ripperwing.com and we will try to help resolve it.

5. Press kit

Our press kit (logos, screenshots, key art, trailers and descriptions) may be used for editorial purposes, such as news articles, reviews, previews, features and videos covering Ripperwing and our Games.

You may resize or crop the assets, but you may not modify them in a way that misrepresents Ripperwing, our Games or the assets.
You may not use press kit assets on merchandise, in advertising for other products or services, or for any other commercial purpose outside editorial coverage.
You may not use the assets in a way that suggests Ripperwing endorses you, your publication or your products.

6. Playtests, betas and early access

We may invite players, creators or partners to playtests, betas or early access versions of our Games.

Unfinished builds. Test and early access builds may be unstable, incomplete or contain bugs, and may lose progress or data. Features and content may change or be removed before release.
Keys and access. Playtest and early access keys are provided at our discretion and may be revoked, and a test may end at any time.
Feedback. If you send us feedback, suggestions or bug reports, you give us permission to use them freely for any purpose, including improving our Games, without any obligation or compensation to you.
Confidentiality of private playtests. If you were given access to a private or closed playtest privately (for example, by a personal invite or key), or the playtest is labeled confidential, you must not share footage, screenshots, streams or details about it until we publicly lift that confidentiality. Public or open playtests are not confidential, and you may share content from them under section 4.
Separate terms. If you were given separate NDA or playtest terms with your invitation, those terms apply and take priority over this section.

7. Mods and fan content

We love seeing what our community creates. Mods, fan art, fan fiction, wikis, guides and other fan content based on our Games are welcome and free to make and share, as long as they are non-commercial.

Non-commercial only. Do not sell mods or fan content that uses our Games or assets, or put them behind a paywall. Voluntary donations or tips are fine as long as access is not restricted.
No cheats or exploits. Cheats, hacks, bots or tools that give an unfair advantage or disrupt multiplayer games are not mods and are not allowed, however they are presented.
No harmful software. Mods must not contain malware or anything that harms players, their devices or their data.
Not official. Do not suggest that your mod or fan content is official or endorsed by Ripperwing.
Respect others' rights. Do not include content that infringes the rights of third parties.

We may ask you to remove mods or fan content that harms players, breaks these Terms or infringes anyone's rights. Mods are used at the player's own risk, and we do not provide support for problems caused by mods. Where we offer modding through a platform tool such as Steam Workshop, that platform's terms also apply.

8. Intellectual property

The Ripperwing name and logo, our Games, and the content of the Website (including text, graphics, artwork, music, video and software) belong to Ripperwing or our licensors and are protected by intellectual property laws. Some games we publish are owned by their developers and are made available by Ripperwing under agreements with them.

Except for the permissions given in these Terms, nothing in these Terms gives you any right to use our trademarks, Games or content. Your use of each Game is also governed by the license terms of the store or platform you got it from.

9. Player conduct in online games

When you play our Games online or in multiplayer, you agree not to:

use cheats, hacks, bots, exploits or unauthorized third-party software, or abuse bugs;
harass, threaten, bully or abuse other players;
post or say anything hateful, discriminatory, sexually explicit or illegal;
impersonate Ripperwing staff, other players or anyone else;
disrupt games, servers or other players' experience, or attempt to gain unauthorized access to our systems.

If you break these rules, we may kick you from a session, ban you or restrict your access to online features, temporarily or permanently. The rules of the platforms you play on, such as Steam and Epic Games (including Epic Online Services), also apply.

10. Purchases and refunds

Our Games and any in-game content are sold through third-party stores and platforms, such as Steam and the Epic Games Store. We do not process payments. Your purchase is governed by the terms of the store you bought from, and refunds are handled under that store's refund policy. Please contact the store for payment and refund requests.

11. Third-party services and links

Our Services link to or rely on services run by other companies, including Steam, Epic Games, Google Forms, Google Drive, Instagram, YouTube, LinkedIn, X (Twitter) and Discord. We do not control these services and are not responsible for their content, availability or practices. Your use of them is governed by their own terms and privacy policies.

12. Disclaimers

Our Services are provided "as is" and "as available". To the extent permitted by law, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not promise that our Services will be uninterrupted, secure or error-free.

Information about our Games, including release dates, platforms, features and content, may change at any time and is not a guarantee. Games in development may be delayed, changed or cancelled.

13. Limitation of liability

To the extent permitted by law, Ripperwing and its members, employees, partners and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of our Services. To the extent permitted by law, our total liability for any claim related to our Services is limited to the greater of the amount you paid directly to Ripperwing for the Service in question in the 12 months before the claim, or 100 U.S. dollars.

Some jurisdictions do not allow certain warranties or liabilities to be excluded or limited, so some of the above may not apply to you.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Wyoming, unless mandatory law gives you the right to bring it elsewhere.

Nothing in these Terms limits any rights you have under the mandatory consumer protection laws of your country of residence.

15. Changes and termination

We may update these Terms from time to time, for example when we release new Games or features or when the law changes. When we do, we will change the "Last updated" date at the top of this page. If the changes are significant, we will take reasonable steps to let you know. If you continue to use our Services after the changes take effect, you accept the updated Terms.

We may suspend or end your access to all or part of our Services if you break these Terms, or if we need to for legal or security reasons. You may stop using our Services at any time. Sections that by their nature should continue after termination, such as those on feedback, intellectual property, disclaimers, limitation of liability and governing law, will continue to apply.
